Terms and Conditions of Sale

Seller

The seller is Lorenzo Castrico, Italian sole proprietor (VAT IT02098880681). Contact: licensing@wuic-framework.com, website wuic-framework.com.

Subject of the service

The service consists of granting a license to use the WUIC Framework (proprietary software product) according to the purchased tier (Developer or Professional). The license is limited to the number of authorized machine fingerprints and the duration specified at purchase.

Pricing

Prices are in Euro (EUR), VAT excluded where applicable. Current prices are published on the pricing page and may be updated without notice; the applicable price is the one in force at the time of order confirmation.

• Developer: €600 / year, 1 fingerprint included.
• Professional: €1,200 / year, 3 fingerprints included.
• Extra fingerprint: €200 / year each. Maintenance extension: €300 (Dev) / €600 (Pro) for 12 additional months.

Payment

Payment is via PayPal. Credit/debit cards (no PayPal account required) and PayPal balance are accepted. Electronic invoice is issued within 12 days of payment and sent via Italian SdI system to the recipient code provided.

License delivery

The license (RSA-2048 signed payload) is issued manually within 2 business days of receiving: email, machine fingerprint of the installation server, PayPal payment confirmation. The key is emailed to the address provided at checkout.

Right of withdrawal

Consumer (B2C): under Art. 52 of the Italian Consumer Code (D.Lgs. 206/2005), the consumer has 14 days from contract conclusion to exercise the right of withdrawal without justification.

Digital content exception: under Art. 59(1)(o) of the Italian Consumer Code, the right of withdrawal is forfeited once performance of the contract (license issuance and delivery) has begun with the consumer's express consent and acknowledgment of loss of withdrawal right. By clicking 'Purchase' and receiving the license key, you expressly accept this clause.

The right of withdrawal does not apply to business customers (B2B).

Warranty

The license includes 12 months of maintenance from issuance: framework updates, bug fixes, email support. After that, maintenance can be extended with a renewal. The framework is provided 'as is': the warranty covers functioning according to documentation but not fitness for a specific customer use-case.

Limitation of liability

To the extent permitted by applicable law, seller liability for direct damages arising from use of the framework shall not exceed the license amount paid by the customer in the 12 months preceding the alleged event. Indirect damages, consequential damages, loss of profit and loss of data are excluded.

Intellectual property

Source code, trademarks, documentation and all materials related to WUIC Framework are and remain the exclusive property of Lorenzo Castrico. The license grants a limited, non-transferable right to use; it is not a transfer of intellectual property. The customer remains the owner of the source code of their own applications developed using WUIC, within the limits described on the legal page.

Governing law and jurisdiction

The contract is governed by Italian law. For disputes with consumers, the court of the consumer's residence or domicile applies (Art. 66-bis Italian Consumer Code). For B2B disputes, the exclusive jurisdiction is the Court of Naples, Italy.

Changes to these terms

These terms may be updated. For contracts already in progress, the terms in force at the time of signing apply.
